Terms and conditions

These Terms and Conditions apply to agreements with Wieben Design unless otherwise agreed in writing in a quotation, order confirmation, contract, or other written agreement.

Wieben Design primarily provides customized solutions, including exhibition stands, showrooms, graphics, printing, products for trade shows, storage, delivery, installation, and related services. The specific terms of each project are agreed separately with the customer.

2. Application

These Terms and Conditions apply to agreements between the customer and Wieben Design unless otherwise agreed in writing.

For individual projects, the quotation, order confirmation, project description, or contract will determine the scope, price, payment terms, schedule, delivery, and other conditions of the project.

If there is any conflict between these Terms and Conditions and a written agreement with the customer, the written agreement will take precedence.

3. Quotations and Agreements

Quotations from Wieben Design are prepared based on the information provided by the customer about the project, including the trade show, stand area, requirements, materials, schedule, and other relevant needs.

A quotation only becomes binding once it has been accepted in writing by the customer and the agreement has been confirmed by Wieben Design.

Changes to the scope, materials, schedule, or practical conditions of the project may result in changes to the price, delivery schedule, and other terms.

4. Prices

All prices are agreed separately and stated in the quotation, order confirmation, or other written agreement.

Prices may depend on the scope of the project, materials, production, transport, installation, dismantling, storage, external suppliers, exhibition requirements, and other practical conditions.

Unless otherwise stated, all prices are exclusive of VAT.

Wieben Design reserves the right to correct typographical and pricing errors and to make adjustments resulting from supplier failures, changes in material prices, transport costs, exchange rates, duties, or the assumptions on which the project is based.

5. Payment

Payment terms are agreed separately and stated in the quotation, order confirmation, invoice, or contract.

For larger projects, custom production, or purchases made specifically for a project, Wieben Design may require advance payment, a deposit, or instalment payments.

If payment is not made on time, Wieben Design may postpone delivery, production, installation, or other services until payment has been received.

6. Customer Information and Approvals

The customer is responsible for providing Wieben Design with accurate and complete information about the project.

This may include stand dimensions, exhibition information, deadlines, technical requirements, artwork, logos, brand guidelines, product information, and access to the exhibition organizer’s systems.

The customer is responsible for reviewing and approving designs, proofs, materials, drawings, orders, and other elements of the project within the agreed deadlines.

Delays in providing information or approvals may result in changes to the schedule, price, or delivery.

7. Production and Changes

Once a project, design, proof, order, or purchase has been approved, changes may only be made by separate agreement.

Changes made after approval may result in additional costs, longer delivery times, or changes to how the project is carried out.

Wieben Design reserves the right to make minor technical or practical adjustments when necessary to complete the project, provided that the overall function and appearance of the solution are maintained.

8. Delivery, Installation, and Dismantling

Delivery, installation, dismantling, and any associated transport are agreed separately for each project.

For exhibition stands and related solutions, delivery and installation depend on factors including access to the venue, deadlines, technical regulations, supplier requirements, and other practical conditions.

Wieben Design is not responsible for delays or changes caused by the exhibition, exhibition organizer, venue, transport providers, suppliers, or other third parties, unless otherwise required by mandatory law.

9. Exhibition Requirements and External Conditions

The customer is responsible for informing Wieben Design of any relevant requirements imposed by the exhibition organizer, venue, or other parties involved.

If Wieben Design has agreed to handle orders or coordination through the exhibition organizer’s system, this will be done based on the information and access provided by the customer.

Any costs relating to electricity, water, internet, rigging, technical services, approvals, fees, or other exhibition expenses are payable by the customer unless otherwise agreed in writing.

10. Storage and Warehousing

If Wieben Design stores the customer’s materials, stand components, or other equipment, this will be subject to a separate agreement.

Terms relating to storage, access, liability, insurance, and payment are agreed individually.

The customer is responsible for informing Wieben Design if any stored items require special handling.

11. Cancellation

A project may only be cancelled in writing.

If a project is cancelled after a quotation has been accepted or work has begun, the customer may be charged for work already completed, materials purchased, external costs, administration, planning, production, and other expenses associated with the project.

If the project includes custom production, customized components, or purchases made specifically for the customer, the customer may be charged all or part of the agreed price.

12. Defects and Complaints

The customer must inspect the delivered work as soon as possible following delivery, installation, or handover.

Any errors or defects must be reported to Wieben Design in writing without undue delay and must include a clear description of the issue.

Visible defects, transport damage, or missing items that should reasonably have been identified at the time of delivery or installation must be reported as soon as possible.

If a complaint is justified, Wieben Design may, at its discretion, remedy the defect, provide a replacement, offer a proportionate price reduction, or otherwise resolve the issue.

The right to make a complaint does not cover defects, damage, or wear resulting from incorrect use, insufficient maintenance, modifications made by the customer or a third party, ordinary wear and tear, or circumstances beyond Wieben Design’s control.

13. Customized Solutions and Right of Withdrawal

Most solutions provided by Wieben Design are produced or adapted to the customer’s specific requirements.

Business customers do not have a general right of withdrawal unless this has been agreed in writing.

If the customer is a consumer, any mandatory consumer protection rules will apply. The right of withdrawal may not apply to goods or solutions made to the customer’s specifications or given a clearly personalized character, in accordance with applicable law.

14. Liability

Wieben Design is only liable for direct losses resulting from errors or negligence on the part of Wieben Design, unless otherwise required by mandatory law.

Wieben Design is not liable for indirect losses, operating losses, loss of margin, loss of revenue, loss of profit, lost exhibition opportunities, or other indirect financial losses.

Wieben Design’s total liability is limited to the amount paid by the customer for the part of the project to which the claim relates, unless otherwise required by mandatory law.

15. Intellectual Property Rights

Designs, concepts, drawings, visualizations, layouts, technical solutions, and other materials created by Wieben Design remain the property of Wieben Design unless otherwise agreed in writing.

The customer may not disclose, copy, use, or permit third parties to use materials created by Wieben Design without written permission, unless the materials have been paid for and transferred to the customer under a separate agreement.

The customer warrants that any materials, logos, images, text, or other content supplied to Wieben Design may lawfully be used for the project.

16. Force Majeure

Wieben Design is not responsible for any failure or delay in delivery caused by circumstances beyond its reasonable control.

Such circumstances may include war, civil unrest, natural disasters, fire, strikes, lockouts, illness, transport disruption, supplier failures, import or export restrictions, government requirements, technical failures, exhibition cancellations, or other circumstances that prevent or materially hinder the delivery or performance of the agreed services.

17. Changes to These Terms and Conditions

Wieben Design reserves the right to amend these Terms and Conditions.

The version applicable to an agreement is the version in effect when the agreement is entered into, unless otherwise agreed in writing.

18. Governing Law and Jurisdiction

Agreements with Wieben Design are governed by Danish law.

The parties will attempt to resolve any dispute amicably. If this is not possible, the dispute will be decided by the Danish courts, unless otherwise required by mandatory law.
